Bob Grayson was with Linklaters for 15 years working in London, Hong Kong and Tokyo as well as on particular projects in China, Korea, Indonesia and the US. Initially Bob worked in global finance but then later specialised in Employee Incentives in London. Whilst in London Bob managed the international compliance section of the share incentives team. This involved all aspects of Global Compliance including designing and building the first internet based global incentives database; managing the global compliance for many major international companies including Shell, Nokia, Dell, Vodafone and many others; making regulatory and tax filings worldwide ; drafting rules and international supplements and designing and drafting plan communications.
Bob also worked in house with Shell where he was responsible for all Shell’s plans on a global basis. This included rationalising the group’s incentive arrangements; designing and drafting new plans; contracting with third party providers; managing the global due diligence process; building a straight through automated process and dealing with corporate actions and all individual disputes and the correcting of mistakes. Working in-house also included bringing together the many stakeholder skills necessary to make a global plan work - including tax; accounting; treasury; investor relations; executive remuneration; external communications and company secretarial.
As Bob has experience of both client advisory and in house work this means that now at Tapestry Bob is able to bring both a legal as well as a more practical and business perspective to all aspects of incentive plans.
Bob now advises on plan rule drafting; communications materials; global compliance for plans; trust and other hedging arrangements; nominee arrangements and all other legal aspects of incentive plans from initial design to post vesting dealing arrangements.
Bob has spoken at conferences (including NASPP; GEO; IFS Proshare and others) in the UK, Europe, the US and the Far East for over 15 years. Bob has also contributed over the years to many articles and publications in the field of employee incentives. Bob is a member and regular contributor to several industry expert bodies. Bob also teaches on the ICSA Certificate in Employee Share Plans course.
